1What is the Content Copyright (License) Policy?

Tara T.P.S. Co., Ltd. (hereinafter the "Company") has established and distributed this Content Copyright (License) Policy so that you, who use the tooldi (hereinafter "tooldi") service, do not experience difficult situations relating to copyright issues. If you are a user of the tooldi service, you must comply with the copyright rules set forth in this Policy.

This Policy specifies copyright regulations for various types of content, including: copyright regulations for [content provided by the Company (hereinafter "tooldi Content")]; copyright regulations for [content provided by third parties and partner companies (hereinafter "Linked Content")] supplied through information integration; and copyright regulations for [Creator Content] created, uploaded, and provided by users. Accordingly, you who use this Service must carefully review this Policy and accurately understand and comply with the copyright-related regulations appropriate to the nature of the content you use.

All members who have entered into this Service Use Agreement shall be deemed to have agreed to the Content Copyright (License) Policy specified by the Company.

2The tooldi Content Copyright Policy You Must Know

1. The copyright of templates and design elements (photos, videos, icons, shapes, component elements, text, pattern backgrounds, etc.) provided by tooldi belongs to tooldi and the companies that have entered into a contract with tooldi.
2. You, the members who use tooldi, may freely modify and edit user templates by accessing the web editor and utilizing all content (templates and various design elements, etc.) provided by tooldi.
3. Your designs (User Content) created using tooldi may be freely downloaded, and the resulting works may be used for distribution and commercial purposes such as web posting, social media sharing, and the production of printed materials. However, the following must be strictly observed.

• Design elements provided by tooldi cannot be downloaded as a single element only. For example, downloading only a single element such as one photo, one icon, or one shape constitutes a method of use that is not permitted under the terms of use of the content provided by the Company.
• In principle, you may not re-edit content downloaded using tooldi by means of other design editing tools (e.g., Adobe-family programs, Procreate, browser-based web-app design editing tools, smart-device application editing tools, and other design editing tools). However, the following cases are exceptions: 1) CMYK conversion of a print PDF file downloaded from tooldi; 2) adjusting the position of text and images, adding separate text, resizing, or deleting using programs such as MS PowerPoint after downloading in PPT file format; 3) using a design output produced from multiple elements, as is, for video editing; and 4) using a design output produced from multiple elements, as is, by combining it with another creative work.
• If an element you have uploaded (photo, image, shape, text, font, video, music, GIF, SVG, etc.) is determined to infringe upon the copyright of a third party, any and all User Content containing such element cannot be used. The Company shall not be liable for any responsibility arising from such copyright infringement by the user.
• Users may use, for commercial purposes, results expressed by adding new creativity based on the individual design elements and templates provided by tooldi. However, commercial use is restricted for results that are mere reproductions or that are determined to lack the user's creativity.
• When using Creator Content, regardless of whether it is free or paid, you may not use such content as is, nor use elements recognized as having product value such as specific characters, calligraphy, or logos, for any form of commercial purpose such as goods production, trademark rights, copyright, or patent registration.
• You may use the results created during a period in which you have acquired a paid license for your account permanently and without time limitation.
• You may not use results created using design elements provided by tooldi for patents, trademark rights, copyright registration, or the like that would allow you to claim exclusive rights.

3Content Copyright (License) Policy

3-1. Definition of Terms

The terms used in this Content Copyright (License) Policy are defined as follows.

• "Company": Tara T.P.S. Co., Ltd., meaning the operating entity and business operator that provides the online design service "tooldi" to users using information and communications facilities such as cloud, computing systems, and networks.
• "User", "Member", "User (유저)": means a person who has entered into a use agreement with the Company to receive the Services, agreed to the Terms of Service, and has been assigned a user account (ID).
• "Editor": means a web design editor with which a user can easily perform design work by utilizing tooldi Content.
• "Template": means a design set composed of multiple design elements. The tooldi service provides a variety of design sets in the form of complete templates.
• "tooldi Content": means the design content provided by this "tooldi" service (various design sources such as complete templates, photos, elements, text designs, component designs, illustrations, bitmap images, etc.).
• "User Content": means various types of design outputs or complete templates created by a user utilizing the Editor.
• "Creator Content": means design content such as templates/elements/photos that a user who has been assigned Creator account privileges uploads to this Service and whose registration is completed after going through final review.
• "Linked Content": means design elements that the Company has registered in the Service by receiving them through API integration or direct provision from a third party or partner company in order to maximize the utilization of this Service.

3-2. Content Copyright Policy by Type

(a) Regarding Use of the tooldi Service

1. Users may not mirror and use the web service content and the Editor on another server without the Company's permission.
2. If integration with the web service content and the Editor is required, use is possible through a contract with the Company.
3. Users may not perform acts such as reverse assembly, reverse engineering, or decompilation of the tooldi service website and the Editor.
4. An account user who has acquired a paid license may not transfer, sell, or lease such account to another person.
5. Two or more persons may not simultaneously access and use an account that has acquired a paid license.
6. An account user may not share his or her account ID and password with another person.
7. If an account user who has acquired a free license uses paid-license content through abnormal procedures (hacking, use of illegal programs and sources, etc.), legal liability may follow.
8. Articles (blogs, manuals, usage instructions, etc.) created on the tooldi service website may not be reproduced or copied without authorization by any method other than the sharing function.

(b) Regarding Use of tooldi Content

1. The copyright of all content provided by the Company through the tooldi service (collectively referring to all design elements including templates) belongs to the Company and is protected under domestic copyright law and international copyright treaties.
2. Users may not reproduce single design elements provided by tooldi (photos, icons, shapes, text, videos, audio, charts, etc.) by downloading or capturing them individually, nor modify them for use.
3. Photos provided by tooldi may not be used in a manner that causes a serious mistake to the extent of being mistaken for an actual product, nor be used for the purpose of distorting a person (model) photo and thereby damaging the model's reputation.
4. Person photos provided by tooldi may not be used for the purpose of causing them to be mistaken as the exclusive model of a specific company, service, or product.
5. tooldi Content may not be used to exaggeratedly advertise this Company, service, or product, or to state false facts.
6. Utilizing two or more design elements provided by tooldi and downloading, reproducing, or using a result with the user's creativity added through the Editor does not violate the tooldi Content copyright provisions, and may therefore be used freely.
7. Downloading the original tooldi Content provided by the Company and then using it as is, or reprocessing it with another editor, for commercial purposes is not permitted.
8. Reproducing and modifying the tooldi Content provided by the Company and reselling it as an editable template or using it for commercial purposes is not permitted.
9. Users may not use User Content created using the "tooldi Content" provided by the Company for patents, trademark rights, separate copyright registration, or the like that would allow them to claim exclusive rights.
10. tooldi Content may not be utilized to register on other web services or sharing services, etc.

(c) Regarding User Content

1. User Content results created by a user using the Editor may be freely posted, shared, and commercially utilized on the internet/mobile/print, etc., insofar as they do not conflict with the "Restrictions" items of this Policy.
2. If a user shares/distributes User Content through this Service, such content shall be deemed to have been consented to for disclosure/distribution to the Company and the general public.
3. Templates purchased for a fee and content directly created or modified by the user using such templates may be used permanently without time limitation.
4. Do not build an environment that allows the continued use, by abnormal means, of paid content whose usage rights have terminated due to subscription expiration, etc. For an account that attempts to use paid content whose usage rights have terminated by illegal means, the Company may restrict service use or terminate the use agreement.
5. Files (in the form of images, PDF, JPG, PNG, SVG, etc.) created, downloaded, and printed by a user who has entered into a paid-license account agreement during the license acquisition period may be used permanently even after the paid-license period.
6. When a user directly uploads design elements (photos, images, illustrations, shapes, lines, fonts, icons, videos, audio, etc.), the user must carefully check the copyright provisions related to the heading elements and review whether they may be used. If a user produces User Content using design elements uploaded by the user and a copyright dispute later arises regarding the use of such elements, the relevant liability rests with the user who uploaded them, and the Company shall be exempt from liability.
7. Users may sell, as finished products, User Content created with the user's creativity added by utilizing tooldi Content and the Editor. However, content produced using Creator Content (elements, photos, templates, etc.) may not be produced as a finished product for sale or for-profit purposes, even if creativity has been added. Furthermore, where the purpose is the mere reproduction of design elements recognized as identical, or design editing (utilizing another editor), such content may not be produced and sold as a finished product.
8. User Content created using the "tooldi Content" provided by the Company may not be submitted to contests, exhibitions, etc. that require the assignment of copyright as a condition. However, submission is possible where the assignment of copyright is not required.

(d) Regarding Creator Content

1. If you have entered into a Creator account agreement for this Service, the ownership and copyright of content produced or uploaded through the Creator account that has passed the final registration review belong to the Creator account user who created it. However, the Creator shall be deemed to have agreed to grant the Company a non-exclusive, royalty-free license to utilize (host, store, transmit, post, transform, reproduce, translate, etc.) the finally uploaded content, and accordingly the Company has the right to utilize such content within the Service.
2. The copyright provisions regarding Creator Content fundamentally include the [Regarding User Content] provisions.
3. A user who has produced Creator Content may proceed with copyright claims and protection applications for such content within this Service.
4. As far as possible, do not register or upload another Creator's content as your own Creator Content (any form of Creator Content regardless of price). Because tooldi values original copyright, it may proceed to delete such content and refuse its registration.
5. When producing Creator Content, if all or part of another person's Creator Content or tooldi Content registered in the Service is reproduced, this is judged to be an act infringing the rights of the relevant work, even if such content is in a free-content form.
6. Even where another person's content is quoted by explicit agreement, if the result constitutes a core part of the quoted content, it may be judged to be copyright infringement and registration may be refused or cancelled.
7. If your created Creator Content is judged to have suffered copyright-related infringement within this Service, please send a [Copyright Infringement Report] to the Company, and we will handle it promptly.
8. If a dispute regarding plagiarism/contention/copyright arises within the Service concerning Creator Content, the operators of this Service will resolve the dispute by analyzing various factors such as the similarity of the content, the manner in which the content was created, and the time at which the content was registered in this Service's DB.
9. If your produced Creator Content, or a design element contained therein, is confirmed to have plagiarized or infringed the copyright of other content and design elements inside or outside the Service, the Company may delete such content and suspend any revenue process utilizing such content. In this case, the handling of any unsettled rewards related to the infringing content shall be governed by Article 15 (Reward Recovery) of the Creator Terms and Conditions.
10. If you have registered content you registered on this Service onto another service or platform, the responsibility for copyright-related disputes arising between the services rests with the relevant Creator.
11. When registering on this Service content that has been registered on another service or platform, please carefully check the license provisions of the existing service and platform before uploading. The responsibility for copyright-related disputes arising between the services rests with the relevant Creator.
12. Even if the use agreement for a Creator account is terminated or the account is converted to a dormant account, the copyright of the Creator Content (uploaded content) belongs to the Creator and does not revert to the Company. However, since the license granted by the Creator to the Company at the time of upload remains in effect, the Company may continue to provide and maintain content already registered, distributed, and in use within the Service, and users who have already purchased or received a license to such content may continue to use it. As a result of termination/conversion, new sales and new provision of such content shall be suspended. Among unsettled rewards, amounts for which the grounds for payment have been confirmed shall be paid in accordance with the settlement procedures and periods set by the Company; and where the account was terminated due to fraudulent conduct in violation of relevant laws or the terms and conditions, the Company may withhold or recover the settlement of the relevant rewards. The handling of private User Content belonging to the Creator account shall be governed by the Terms of Service and the Privacy Policy.

(e) Regarding Uploading of Creator Content

1. The Creator warrants that it holds all of the same rights to templates, elements, images, photos, videos, text, audio, or other content uploaded or posted to the Service as those held by this Service, and that tooldi does not need to acquire a license from a third party or pay royalties to a third party in connection with the relevant Creator Content.
2. When uploading Creator Content, such content must fundamentally not infringe the rights of third parties, including intellectual property rights and privacy rights, and the Creator shall be deemed to represent and warrant, at the time of uploading the content, that it complies with this Service's Terms of Service, the Content License Policy, and all relevant applicable laws.
3. For the operation of the Creator ecosystem pursued by this Service, by uploading content the Creator shall be deemed to grant this Service a worldwide, limited, non-exclusive, royalty-free license to copy, transmit, distribute, publicly disclose and display the relevant content through all media and services now known or hereafter developed or produced, and to create derivative works from such content. This is to store the Creator Content in this Service's database and manage it in accordance with the systematically organized content policy. Such license is granted consistently to each item of content, and if specific content is deleted, tooldi's non-exclusive license to that content is removed.
4. The points to note when uploading template content are as follows.

• Please take care that the content you create does not become identical to another design.
• Please take care not to include specific components such as brands, celebrities, products, or licensed buildings.
• When completing content (a template) using another Creator's elements or photos, the relevant Creator is registered as a contributor, and revenue is distributed according to the degree of contribution and the content price.
• Even when producing new content (a template) by transforming or reprocessing another Creator's elements, photos, templates, etc. using generative AI features within tooldi, such as "tooldi AI Studio," the identification information of the original work remains valid. Therefore, even if the form or style has been changed by AI technology, the contributor status of the original content Creator and related information are not deleted and are maintained identically.
• When completing content (a template) using part of another Creator's elements, photos, or templates, if a report or objection from the relevant Creator arises, copyright infringement may be assessed and the relevant content may be deleted.
• Do not use text that may give specific form to a particular brand or to copyright infringement.
• Do not use image files in which the shape of an unpermitted font is specifically revealed.
• If content created in infringement of copyright is uploaded, the legal disputes and liability arising from such content rest with the Creator who uploaded it.

• Please take care that the content you create does not become identical to another design.
• Please refrain from uploading content that has been transformed by downloading content distributed by the original author.
• Please take care not to include specific components such as brands, celebrities, products, or licensed buildings.
• Do not use text that may give specific form to a particular brand or to copyright infringement.
• Do not use image files in which the shape of an unpermitted font is specifically revealed.
• If content created in infringement of copyright is uploaded, the legal disputes and liability arising from such content rest with the Creator who uploaded it.

1. The points to note when uploading photo content are as follows.

• Please upload photos for which the Creator's own ownership and copyright are clear.
• In the case of photos, please take care that the uploaded content does not infringe portrait rights and property rights.
• In the case of a person photo in which the model is clearly revealed, clear consent regarding the portrait right must be confirmed. When uploading a photo containing a model, a portrait-rights use permission (model photo use consent form) must be attached.
• When uploading content that contains property rights, an asset use permission (property-rights use consent form) must be attached.
• If a photo containing portrait rights and property rights that have not been consented to is uploaded, the legal disputes and liability arising from such content rest with the Creator who uploaded it.

4License Agreement Regarding Content Download and Use

4-1. Permitted Scope

• Products in various categories such as printed materials, product packaging, product composition, presentations, advertisements, catalogs, brochures, cards, promotional and marketing supplies, postcards, and invitations
• Class materials, projects, or assignments for elementary, middle, high schools, and universities
• Social media content
• Wallpaper and decoration purposes for personal computers and mobile devices
• Design of online services such as web pages and blogs
• Other purposes officially approved by this Service and the Creator

4-2. Use Is Prohibited in the Following Cases.

• Acquisition of a secondary license, resale, leasing, lending, false transfer, or trading of content in the form of a contract
• The act of registering content as intellectual property rights such as trademarks, patents, or designs, regardless of whether it is registered
• Use in, or as a metaphorical expression for, illegal acts (violence, crime, drug trafficking, etc.), human rights violations, defamation, or obscene content
• Use in content that disparages children or fails to protect them
• Use in a manner that disparages the original content or causes displeasure (e.g., using a specific model photo to damage the model's dignity or to commercialize it)
• Continuous use of paid content by illegal or abnormal methods
• In the case of Creator Content, using the relevant content by productizing it as is
• Extracting the source code of content and using part of it by reverse engineering, decompiling, or disassembling it
• Distributing downloaded files by file-sharing methods such as P2P
• Other cases that violate relevant laws or infringe upon the rights of others

4-3. The Company Is Legally Exempted from Liability for the Following Uses.

• Where content perceived as "free" is used to create content that infringes copyright or property rights, or is used in matters where legal disputes arise, the Company does not legally protect the user with respect thereto, nor perform any separate act such as a use guarantee.
• Among content perceived as "paid," where it has been uploaded by a Creator, the legal disputes and liability arising from the use of such content rest with the Creator.
• The Company does not guarantee the accuracy, certainty, or legal warranty of metadata designated by the user.

5Notice and Takedown Policy for Copyright Infringement

The Company respects the rights of you and of all creators in the world. Accordingly, it is the Company's consistent policy to respond promptly to reports of alleged copyright infringement, and if you determine that content provided by the Service has infringed someone's copyright, trademark right, or other right, we would be grateful if, immediately upon discovery, you would provide the following information through the report function, or through our telephone line or email.

• The work alleged to have had its copyright, trademark, patent, or other right infringed
• A URL or capture image by which it can be identified that the relevant work is posted on the Service
• A statement that the reported content is being used in a manner not authorized by the copyright/trademark/patent/other rights owner, the agent, or the law
• A statement that the information described above is accurate and that the information provider is the rights owner or agent, or evidentiary materials thereof

6Disclaimer of the Company

1. To the extent permitted by law, the Company makes no covenant or warranty regarding any specific matter not specified in the Content Copyright Policy in connection with this Service. In addition, the Company does not warrant the reliability, accuracy, etc. of information, materials, or facts posted on the Service in a manner created or uploaded by content providers or content suppliers or members, and shall not be liable for any damage you suffer that occurs without the Company's fault; provided, however, that this shall not apply to damage caused by the Company's intent or gross negligence.
2. All legal liability and responsibility for copyright-related disputes arising from failure to understand this Policy and the Terms of Service rest not with the Company but with the user who produced the content.
3. All liability arising from the content and meaning contained in "User Content" and "Creator Content" rests not with the Company but with the user who produced it.
4. The Company shall not be liable for copyright-related disputes and damages arising from materials you have uploaded to the Service.
5. The Company holds a non-exclusive right to use your content within the Service to the extent necessary for the provision, operation, promotion, and feature improvement of the Service (the copyright of the content belongs to the user/Creator who created it). Where there is a violation of relevant laws or this Policy/the Terms of Service, infringement of the rights of others, or other justifiable grounds, the Company may change or delete "User Content," "Creator Content," or My Page materials, and shall provide prior notice except where the violation/infringement is clear.

7Attribution for Other Copyrights

All content used in this Service has been registered in respect of, and compliance with, copyright ethics policies. Accordingly, in the case of content for which the source must be indicated, the source of such content is indicated in the body of this Service's Content License Policy. However, some content, such as "fonts for which attribution is mandatory," may require you to indicate the source in your output in accordance with the license conditions of the relevant copyright holder, so please check the relevant list and conditions before use.
